Role Overview

A key role in a successful global company. Sepura is a leading designer, developer and provider of mission and business critical communications equipment.

We are looking for an experienced and highly motivated Commercial Manager to join the business reporting directly to the Finance Director. This is a challenging and stimulating role working across key functions, taking the leading role in contract drafting and negotiation as well as managing any external legal counsel.

Applicants do not need experience in all of the below but should be able to demonstrate a solid track record of career progression through the application of learning and self-development. The successful applicant will work alongside the current Commercial Manager until July 2024 who will provide mentoring as required.

 

Main Duties

  • Oversee and ensure compliance with regulatory requirements for the Company and its subsidiaries in multiple jurisdictions including by instructing overseas advisors where necessary.

  • Draft, review, maintain and manage the Company’s standard commercial contracts portfolio.

  • Provide input to and negotiate acceptable terms in non-standard commercial contracts including by identifying and mitigating risk.

  • Maintain a basic understanding of UK and EU procurement law and competition law sufficient to ensure Tenderers’ and the Company’s compliance with the same.

  • Understanding of and experience in negotiating IP licences.

  • Liaison between Bid Team and Product Strategy Group to produce technical papers to support quotes.

  • Assessing and addressing the non-standard technical and commercial risks relating to bids.

  • Support the Bid Team with writing tender responses, particularly commercial elements.

  • Build and maintain a library of responses to be used in tenders including the preparation of case studies and drafting of other reference materials to ensure continuous improvement.

  • Collating bid materials provided by various departments and ensuring a uniform style and tone across the overall document.

  • Ensure that all input to bids is received in a timely manner and is both accurate and complete.

  • Work with the Senior Bid Engineering Manager to define and recommend winning bid strategies ensuring that all tender requirements are properly addressed including the coordination of all technical, commercial and financial elements.

  • Ensure bids fully comply with company procedures and corporate governance requirements.

  • Advise on and support export licence applications and liaise with Government advisors to the ECO as necessary.

  • Support Finance to ensure the suitability of requisite performance bonds, bank guarantees and parent company guarantees.

  • Support the Purchasing Dept conclude contracts with suppliers from multiple jurisdictions.

  • Support corporate activities across the organisation.

  • The role will require a valid passport and security clearance which entails background checks. The Company will apply for the requisite security clearance.

Qualifications:

Degree qualified (essential)

Law degree (desirable)


Professional Experience (essential)

  • Extensive experience working as a Contracts Manager or Commercial Manager.

  • Experience running or working in/with a bid/commercial team.

  • Experience of dealing with senior stakeholders.

  • Experience of facilitating interdepartmental coordination.

  • Experience managing external legal advisers


Professional Experience (desirable)

  • Experience of working with both Government and commercial customers globally.

  • Experience of working in a technology environment.

  • Familiar with DEFCONs, Cabinet Office template contracts e.g. Model Services Contract, FARs, DFARS and standard industry template contracts e.g. GCC (Model Form of International Contract published by the Engineering Advancement Association of Japan (ENAA)).

  • Experience with SaaS contracts.

  • Experience in concluding contracts that apply different legal systems and jurisdictions
